Terms of Service

MERGEguard is a tool that connects to your Clio account to identify and merge duplicate contacts. By using the service, you agree to these terms.

Using the service

  • Only connect accounts and access data you are authorized to use.
  • Always review duplicate groups before confirming a merge. Merges modify data in Clio and cannot always be fully undone.
  • Use the service responsibly within your organization.

Data and integrations

MERGEguard connects to Clio using API access you provide. You are responsible for ensuring you have the appropriate permissions to access and modify the data in your Clio account.

No guarantees on duplicate detection

Duplicate detection is automated and not perfect. It may miss duplicates or flag contacts that are not actually duplicates. You are responsible for reviewing results before confirming any merge.

Account security

You are responsible for keeping your login credentials and authentication methods secure. This includes your password, passkeys, MFA methods, and recovery codes. Do not share access to your account.

SMS terms

If you enable SMS-based authentication for your MERGEguard account:

  • Messages are sent only for login and account security verification, never for marketing or promotions.
  • Message frequency varies based on your account activity and is limited to authentication events.
  • Message and data rates from your carrier may apply.
  • Reply STOP to opt out of SMS messages.
  • Reply HELP for assistance.

Availability

The service is provided as-is. Features may change, and we may perform maintenance that temporarily affects availability. We'll aim to minimize disruption.

Limitation of liability

To the fullest extent permitted by law, TLB Cloud's total liability to you for any claims arising out of or related to these terms or your use of MERGEguard will not exceed the amount you paid to TLB Cloud in the twelve months preceding the claim.

TLB Cloud is not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption, even if we have been advised of the possibility of such damages.

These limitations do not apply to liability arising from gross negligence, willful misconduct, or fraud.

Changes to these terms

These terms may be updated as the product evolves. Continued use of the service after changes are posted means you accept the updated terms.

Data processing

When you connect your Clio account, MERGEguard processes contact data on your behalf solely to identify and merge duplicates. We act as a data processor at your direction.

We use the following sub-processors to operate the service, all located in the United States: Vercel (hosting), Supabase (database), Resend (email), Twilio (SMS), Stripe (payments), Inngest (background jobs), Cloudflare (DNS and bot protection).

In the event of a data breach affecting your data, we will notify you within 72 hours of becoming aware of it. Upon account termination, your data will be deleted within 30 days. You may request earlier deletion at info@tlbcloud.net.

Governing law

These terms are governed by the laws of the State of South Dakota. Any disputes will be resolved in the state or federal courts located in Pennington County, South Dakota.
